Terms of Service

1.1 What Udyra Is

Udyra ("the Platform") is an AI Operating System that provides:

• AI tool discovery and comparison (Find surface)
• AI tool audit engine (Expose surface)
• AI reasoning chat with persistent context (Think surface)
• Life OS: goals, decisions, journal, knowledge, and people management
• Autonomous AI agent pipelines (Agent surface)
• AI creative tools (Imagine surface)
• Prompt library (Prompts surface)
• AI news and trends (News surface)

1.2 Who Operates It

Udyra is operated by Aryan Kushwaha, an individual developer based in Uttar Pradesh, India ("Operator," "we," "us," or "our").

1.3 Eligibility

You must be at least 13 years old to use Udyra. By using the platform, you represent that you meet this requirement. Users under 18 must have parental or guardian consent.

2.1 Registration

To access most features, you must create an account using Google OAuth or email magic link.

2.2 Account Security

You are responsible for keeping your account credentials confidential, all activity that occurs under your account, and notifying us immediately of unauthorized account access.

2.3 One Account Per User

Each user may maintain one active account. Creating multiple accounts to circumvent plan limits or suspensions is prohibited and may result in permanent termination of all associated accounts.

2.4 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep this information updated.

3.1 Available Plans

Udyra offers the following plans (prices in INR, subject to change):

• Free — ₹0/month
• GO — ₹399/month
• PLUS — ₹1,999/month
• PRO — ₹7,699/month

Annual plans may be offered at a discount. Current pricing is always displayed at udyra.in/pricing.

3.2 Payment Processing

All payments are processed by Razorpay. By subscribing, you also agree to Razorpay's terms of service.

3.3 Billing

• Subscriptions are billed monthly or annually in advance
• Your subscription auto-renews unless cancelled before the renewal date
• Failed payments result in a 3-day grace period before plan downgrade

3.4 Price Changes

We may change subscription prices with 30 days advance notice via email to registered users. Continued use after the price change date constitutes acceptance of the new pricing.

3.5 Refund Policy

• Free plan: No charges, no refunds needed
• Paid plans: 7-day refund for first-time subscribers who are unsatisfied. Email udyra590@gmail.com with subject "Refund Request — [order ID]"
• After 7 days: no refunds for the current billing period
• Annual plans: prorated refund for unused months if cancelled within the first 30 days. No refund after 30 days.
• Refunds are processed within 5-7 business days via original payment method

3.6 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the billing period ends.

4.1 You May Use Udyra To:

• Discover, research, and compare AI tools
• Generate AI-powered content, strategy, and analysis for legitimate purposes
• Store and manage your personal goals, decisions, and knowledge
• Build and run autonomous AI agents for lawful tasks
• Collaborate professionally using shared features

4.2 You May NOT Use Udyra To:

• Violate any applicable Indian or international law or regulation
• Generate content that is illegal, defamatory, obscene, or harmful
• Attempt to reverse-engineer, decompile, or extract Udyra's source code
• Scrape, crawl, or systematically extract data from the platform via bots
• Use the platform to train competing AI models
• Circumvent subscription limits through technical manipulation
• Impersonate other users, entities, or Udyra staff
• Send spam, phishing, or unsolicited commercial messages via Agent features
• Upload malicious code, viruses, or disruptive content
• Use Udyra for any purpose that harms minors
• Generate AI content designed to deceive, manipulate, or defraud

4.3 AI Usage Limits

• AI features are subject to rate limits per plan tier
• Abuse of AI endpoints may result in temporary rate limiting or account suspension
• Agent features may not be used to conduct unauthorized surveillance

5.1 You Own Your Content

All content you create on Udyra — journal entries, decisions, goals, agent configurations, notes, and conversations — belongs to you.

5.2 License to Udyra

By storing content on Udyra, you grant us a limited, non-exclusive, royalty-free license to:

• Store, display, and process your content to provide the Service
• Use aggregated, anonymized data to improve platform features
• Cache and index your content for performance within your account

This license does not allow us to sell your content, share it with other users, or use your private journal entries in advertising.

5.3 AI-Generated Content

• Generated using third-party AI models (Anthropic's Claude)
• May not always be accurate, complete, or current
• Should not be the sole basis for legal, financial, medical, or other professional decisions
• IP rights in AI output are governed by applicable Indian and international law, which is evolving

5.4 No Sensitive Data

You agree not to store the following on Udyra:

• Aadhaar numbers, PAN card numbers, or government ID data
• Banking credentials, full card numbers, or passwords
• Medical records or health data (beyond general wellness notes)
• Legal documents containing confidential privileged information
• Any third-party confidential data you are not authorized to store

5.5 Content Removal

We reserve the right to remove content that violates these Terms or applicable law. We will notify you before removal except where immediate removal is required by law or to prevent harm.

6.1 Udyra's IP

The Udyra name, logo, UI design, platform architecture, proprietary AI prompting systems, and all platform code are owned by Aryan Kushwaha and are protected by Indian intellectual property law.

6.2 What You Cannot Do

• Copy or reproduce Udyra's UI design for competing products
• Use the Udyra name or logo without written permission
• Claim ownership of Udyra's AI system architectures
• Build a commercial product that substantially replicates Udyra's core functionality using extracted knowledge of our systems

6.3 Feedback

If you provide feedback, suggestions, or ideas about Udyra, you grant us the right to use this feedback without compensation or credit to you.

7.1 Nature of AI Outputs

• May contain errors, inaccuracies, or hallucinations
• Reflect the knowledge cutoff of the underlying model
• Are not professional legal, financial, medical, or investment advice
• May occasionally produce unexpected or inappropriate content

7.2 Your Responsibility

You are responsible for reviewing AI-generated content before acting on it. Udyra is a thinking and reasoning tool — not a certified professional advisor.

7.3 Expose Audits

Expose/Autospy audit results are generated opinions, not verified factual reports. Tool ratings and verdicts are AI-generated assessments and should be used as one input in your decision-making, not as definitive truth.

7.4 Agent Actions

• You are responsible for reviewing agent configurations before activation
• You approve agent actions before execution where approval is required
• Udyra is not liable for outcomes of agent actions you have approved

8.1 Service Availability

We aim for high availability but do not guarantee 100% uptime. The platform may be unavailable due to scheduled maintenance, emergency maintenance or security incidents, third-party service outages (Supabase, Anthropic, Razorpay, etc.), or force majeure events.

8.2 Service Changes

• Add, modify, or remove features at any time
• Retire surfaces or capabilities with 30 days notice where possible
• Change the platform's architecture, design, or technology stack

Paid users will receive 30 days notice before removal of any feature that is a core part of their subscribed plan.

8.3 Termination by Udyra

We may suspend or terminate your account immediately if you violate Section 4 materially, engage in payment fraud or chargebacks without basis, attempt unauthorized access to platform systems, or harass or threaten Udyra staff or other users. We may terminate accounts with 30 days notice for any other reason, with a prorated refund of prepaid subscription fees.

9.1 No Warranties

UDYRA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, UDYRA AND ARYAN KUSHWAHA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES; LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL; DAMAGES ARISING FROM RELIANCE ON AI-GENERATED CONTENT; OR DAMAGES FROM THIRD-PARTY SERVICE OUTAGES.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM USE OF UDYRA SHALL NOT EXCEED THE AMOUNT YOU PAID TO UDYRA IN THE 3 MONTHS PRECEDING THE CLAIM.

9.3 Exceptions

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under Indian law.

10.1 Governing Law

These Terms are governed by the laws of India. The courts of Uttar Pradesh, India shall have exclusive jurisdiction over any disputes arising from these Terms.

10.2 Dispute Resolution

Before initiating legal action, you agree to: (1) Email us at udyra590@gmail.com describing the dispute, (2) Allow us 30 days to attempt informal resolution, (3) If unresolved, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996 (India).

10.3 Class Action Waiver

You agree to resolve disputes individually, not as a class action or representative proceeding.

11.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Udyra.

11.2 Severability

If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.

11.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

11.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a business acquisition or merger.

11.5 Updates to Terms

We may update these Terms. Material changes will be communicated via email notification to registered users, an in-app banner for 7 days, and the "Last Updated" date at the top of this page. Continued use after changes = acceptance of updated Terms.
